SpaceXAI’s legal team plays a critical role, working closely with finance, tax, accounting, operations and engineering, to achieve our mission. This role is for someone passionate about working at the intersection of AI and law.
As a Corporate Counsel, you will support and lead mergers, acquisitions, joint ventures, investments, partnerships and other strategic transactions. You’ll also handle corporate governance and subsidiary management and provide counsel to multiple internal clients on a wide variety of complex legal and business issues.
This is not a remote or hybrid position. This role is based on-site at our Palo Alto headquarters.
Lead and support mergers, acquisitions, joint ventures, investments, partnerships and other strategic transactions from start to finish, including diligence, deal structuring, drafting, negotiating, executing and integrating
Partner closely with corporate development, finance and operation teams to execute a smooth and efficient deal process
Drive post-closing integration
Build processes, templates, and playbooks for mergers and acquisitions and strategic transactions
Advise on corporate governance, including subsidiary board matters and consents
Oversee subsidiary maintenance, including formations, dissolutions, and compliance across US and international entities
Provide counsel on general corporate matters
Willingness to roll up sleeves and possess a can-do attitude
J.D. from an accredited law school
6+ years in Corporate or M&A at a top-tier law firm
Expertise in complex corporate structures and transactions, including diligence, structuring and negotiation
Experience representing mature private and public companies
Flexible team player, able to adapt to rapid developments and diverse projects in a fast paced organization working with novel legal issues
Must be admitted to the bar, in good standing, in at least one U.S. State
This position is based in Palo Alto, CA. This role is based on-site, five days a week - remote work not considered
Must be able to work extended hours and weekends as needed
$200,000 - $230,000 USD
